Your Application and Your Story Submission (1-2pgs)

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SERVICES (THE "SERVICES") FROM STERLING GROUP PUBLISHING, LLC. ("SGP"). BY USING THE SERVICES, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, PLEASE DO NOT USE THE SERVICES.

1.    General. The Services include all means by which SGP provides content to you or receives content from you, including, without limitation, SGP's websites, downloadable software applications, delivery of SGP content to you at your request, mobile web sites, mobile downloadable applications, services that allow you to submit content to SGP, blog submission services, chat rooms and message boards. The Services are owned and operated by SGP. SGP has the right at any time to change or discontinue any aspect or feature of the Services, including, without limitation, the content, hours of availability, and equipment needed for access or use of the Services.

2.    Equipment. You shall be responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of the Services and all charges related thereto.

3.    Restrictions on Use. 
A.    You shall use the Services for lawful purposes only. You shall not post or transmit through the Services any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, gives rise to civil liability or otherwise violate any law. Without SGP's express prior approval, you shall not post or transmit through the Services any material which contains advertising or any solicitation with respect to products or services. You shall not use the Services to advertise or perform any commercial solicitation, including, without limitation, the solicitation of users to become subscribers of other on-line information services competitive with the Services. Any conduct by you that in SGP's discretion restricts or inhibits any other user from using or enjoying the Services will not be permitted. 
B.    The Services contains copyrighted material, trademarks and other proprietary information, including, without limitation, text, software, images, video, graphics, music and sound, and the contents of the Services are copyrighted under the United States copyright laws. You may not modify, publish, transmit, display, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express written permission of SGP and the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made and no ownership rights shall be transferred. 
C.    You shall not e-mail, upload, post or otherwise make available on the Services any material protected by the copyright, trademark, or other proprietary right without the express permission of the owner of the copyright, trademark, or other proprietary right and the burden of determining that any material is not protected by copyright rests with you. You shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission. Subject to SGP's policies regarding privacy, any e-mails, notes, message/billboard/forum postings, images, videos, ideas, suggestions, concepts or other material submitted will be treated as non-confidential and non-proprietary and will become the property of SGP throughout the universe. By submitting material to SGP, you automatically grant, or warrant that the owner of such material has expressly granted SGP the right to set forth the royalty-agreement (agreed upon by SGP and 'you the applicant' - see the w2 Royalty Agreement for agreement terms & conditions), worldwide, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, display, translate, perform, edit, transmit, reformat, sublicense and distribute such material (in whole or in part, directly or indirectly) and/or to incorporate it in other works in any form, media or technology now known or hereafter developed; you waive your rights to attribution, integrity, or moral rights in the materials in connection with their use by SGP and other authorized parties; you agree to allow use of your name and city on the Services and in publicity or advertising without additional compensation (except for the Royalties pay agreed upon between SGP and 'you the applicant' in the w2 Royalties Agreement terms & conditions) ; and you understand and agree that SGP shall have no obligation to copy, publish, display or otherwise exploit the materials, nor shall they be obligated to prevent, or have any liability for, any unauthorized copying, publishing, displaying or other exploitation of the materials. You grant SGP the right to edit, copy, display, publish and distribute any materials made available on the Services by you. 
D.    The foregoing provisions of Section 3 are for the benefit of SGP, its subsidiaries, affiliates and its third party content providers and licensors and each shall have the right to assert and enforce such provisions directly or on its own behalf.

4.    Disclaimer of Warranty; Limitation of Liability. 
A.    YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. NEITHER SGP, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES, OR FROM THE INFORMATION CONTAINED THEREIN, OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED THROUGH THE SERVICES. 
B.    THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER APPLICABLE LAW. ADDITIONALLY, THERE ARE NO WARRANTIES AS TO THE RESULTS OBTAINED FROM THE USE OF THE SERVICES. 
C.    THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INACCURACY, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF THE SERVICES, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR (INCLUDING, WITHOUT LIMITATION, STRICT LIABILITY), NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION, TO THE FULLEST EXTENT PERMISSIBLE BY LAW. THIS DOES NOT AFFECT ANY STATUTORY RIGHTS WHICH MAY NOT BE DISCLAIMED. YOU SPECIFICALLY ACKNOWLEDGE THAT SGP IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES OVER WHICH IT HAS NO CONTROL. 
D.    TO THE FULLEST EXTENT PERMISSIBLE BY LAW, IN NO EVENT SHALL SGP's TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, ITS OWN NEGLIGENCE) OR UNDER ANY OTHER LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, STRICT LIABILITY) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICES. THIS DOES NOT AFFECT ANY STATUTORY RIGHTS WHICH MAY NOT BE DISCLAIMED.

5.    Monitoring. SGP shall have the right in its sole discretion to refuse to post or remove any material submitted to or posted on the Services. SGP does not have an obligation to review posted material on the Services, and SGP cannot assure that the material will either be appropriate or appropriately expressed. SGP cannot publish all material submitted to the Services. The choice of which material is selected for the Services is at the sole discretion of SGP and cannot be disputed. Without limiting the foregoing, SGP shall have the right to remove any material that SGP, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

6.    Indemnification. You agree to defend, indemnify and hold harmless SGP and its suppliers, licensors and affiliated companies and their respective directors, officers, employees, contractors and agents from and against any and all claims, actions, demands, damages, costs, liabilities, losses and expenses (including reasonable attorneys' fees and costs) arising out, relating to or in connection with (a) your use of the Services, (b) the content of any materials you submit, (c) any violation of any law or regulation by you, and (d) this agreement.

7.    Trademarks. SGP, Sterling Group Publishing LLC, and yourtruestories.com, and each of their logos are trademarks of Sterling Group Publishing LLC. All rights reserved. All other trademarks appearing on the Services are the property of SGP or their respective owners.

8.    Third Party Content. SGP is not a publisher of content supplied by third parties and users of the Services. Accordingly, SGP has no more editorial control over such content than does a public library, bookstore, or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers and users, are those of the respective author(s) or distributor(s) and not of SGP. In many instances, the content available through the Services represents the opinions and judgments of the respective information provider or user. SGP neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on the Services by anyone other than authorized SGP employee spokespersons while acting in their official capacities.

9.    Viruses. SGP also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the Services or your downloading of any materials, data, text, images, video, or audio from the Services.

10.    Export Control. Software and other materials from the Services may also be subject to United States Export Control. The United States Export Control laws prohibit the export of certain technical data and software to certain territories. No software from the Services may be downloaded or exported (1) into (or to a national or resident of) Cuba, North Korea, Iran, Syria, Sudan or any other country to which the United States has embargoed goods; or (2) anyone on the United States Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. SGP does not authorize the downloading or exportation of any software or technical data from the Services to any jurisdiction prohibited by the United States Export Laws.

11.    Business Associates. The business associates of SGP identified on the Services are independent contractors of SGP. The business associates are not joint venturers or partners of SGP. No employee or representative of the business associates is under the control of SGP.

12.    Changed Terms. SGP has the right at any time to change or modify the terms and conditions applicable to use of the Services, or any part thereof, or to impose new conditions, including, without limitation, adding fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by any means including, without limitation, posting on the Services, or by electronic or conventional mail, or by any other means. Any use of the Services by you after such notice shall be deemed to constitute acceptance of such changes, modifications, additions or deletions.

13.    Miscellaneous. These terms of use constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of the State of New Jersey without regard to its conflicts of law principles. All disputes under this Agreement shall be resolved by the State or Superior Courts of Northern District in the State of New Jersey or in the United States District Court for the Northern District of New Jersey, and each party consents to the exclusive jurisdiction of such courts and hereby waives any jurisdictional or venue defenses otherwise available to it. No waiver by SGP of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.

14.    Links. The Services incorporate links to other Web sites. SGP does not in any way endorse, nor is it responsible for, the content on those other Web sites.

15.    Copyrights and Copyright Agent. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide SGP's Copyright Agent the following information in writing, as required by the Digital Millennium Copyright Act, 17 U.S.C. 512 ("DMCA"): 
a.    A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; 
b.    Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; 
c.    Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit SGP to locate the material; 
d.    Information reasonably sufficient to permit SGP to contact you; 
e.    A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and 
f.    A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

BY SUBMITTING CONTENT OR CLICKING ON THE "SUBMIT" BUTTON, YOU AGREE TO BE BOUND BY ALL 10 SECTIONS OF THE AGREEMENT BELOW. BEFORE YOU MAKE SUBMISSIONS, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT ACCEPT AND AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT REGISTER OR SUBMIT CONTENT.

1. This agreement ("Agreement") becomes effective when you complete all of the information required on the Submission Form and indicate your acceptance of this Agreement by "clicking" on the "ACCEPT" button when it is presented. This Agreement is between Sterling Group Publishing, LLC. and its affiliated companies (collectively "SGP") and you. This Agreement sets forth the terms and conditions under which you agree to submit content to this web site.

2. If you submit any content to SGP, you will be deemed to have made the following representations, upon which SGP will have the right to rely: you have read, understand and agree to these terms and conditions; you hereby grant SGP the non-exclusive royalty-free (except as set forth in the w2 Royalties Agreement in regards to the royalties for the publication of Your True Stories, 2011 Edition) irrevocable rights, in its sole discretion, to use, reproduce, copy, publish, display, distribute, perform, translate, sublicense, adapt, modify, create derivative works from and otherwise exploit the content (in whole or in part) and to incorporate the content in other works, in any and all markets and media, whether now known or hereafter developed, throughout the universe in perpetuity; you have the sole and exclusive right to grant such rights to SGP; you have obtained appropriate, written releases from any and all recognizable persons appearing in the content, and from any and all persons who provided art work or any other material appearing in the content; SGP's copying, publishing, displaying and/or other exploitation of the content will not infringe on any rights of any third party, including, but not limited to, copyright, trademark, privacy or publicity rights anywhere in the world; you hereby grant any other user of the site the right to access, view, store or reproduce the content for that user's personal use; you waive your rights to attribution, integrity, or any other moral right in the content in connection with its (their) use by SGP; you agree to allow use of your name and city in publicity or advertising without compensation; and you understand and agree that SGP shall have no obligation to copy, publish, display or otherwise exploit the content, nor shall it be obligated to prevent, or have any liability for, any unauthorized copying, publishing, displaying or other exploitation of the content.

3. You understand and acknowledge that: (a) SGP receives numerous submissions from third parties, and (b) SGP is constantly developing in-house ideas, formats, stories, concepts, artwork, music, and the like, and that many such submissions and/or developments heretofore or hereafter received and/or developed by SGP may be similar to or identical to those contained in the content submitted by you, and you agree that SGP's employment of the same or similar concepts or information as those disclosed by you as part of the content submitted by you shall not give rise to any inference that any such content was utilized, as to which you shall have the burden of proof.  SGP will not be held liable for any such similarities (including, without limitation, similarities of ideas, concepts, stories and other elements), and you further understand and agree that SGP's use of material containing elements similar or identical to protectible property contained in the content submitted by you shall not obligate SGP to you in any manner.  Except as otherwise expressly provided in this Agreement, you waive all claims you have, have had, or may have against SGP arising from or relating to the submission of the content to SGP.

4. SGP may modify these terms and conditions at any time at its sole discretion. Such modified terms and conditions can be found at this Web site. After notice of a modification, your continued submissions of content to SGP constitute an affirmative agreement to be bound by such new terms and conditions. Any modification is effective immediately for all submissions made after the time of such modification. If any modification to this Agreement is unacceptable to you, you may immediately terminate the submission. However, if you do not terminate the submission, or continue to make submissions following modification to this Agreement, your continued use will mean that you have accepted that modification.

5. SGP reserves the right to modify or discontinue the service, and any terms or conditions, at any time.

6. This service is also governed by Sterling Group Publishing's Terms of Use. This Agreement and the accompanying Terms of Use constitute the entire agreement between you and SGP with respect to the service and supersede all other communications. To the extent any terms of this Agreement are in conflict with the Terms of Use, the terms of this Agreement shall control.

7. SGP reviews submissions but does not otherwise assume responsibility for the content of any videos, photos or text submitted. SGP cannot publish all entries submitted. The choice of which content is selected is at the sole and absolute discretion of SGP and cannot be disputed.   SGP shall have absolutely no obligation to give feedback or reasoning for why an entry is not published.  SGP shall have the sole right to reject or remove a video from yourtruestories.com at any time.  SGP reserves the right to alter content as appropriate for the medium.

8. You agree to defend, indemnify and hold harmless SGP and its directors, officers, employees and agents from and against any and all claims, actions, demands, damages, costs, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of your use of the site or arising from or in connection with the contents of your submission.

9. This Agreement shall be construed in accordance with the laws of the State of New Jersey without regard to its conflicts of law principles. All disputes under this Agreement shall be resolved by the State or Superior Courts of the Northern District in the State of New Jersey or in the United States District Court for the Northern District, New Jersey, and you consent to the exclusive jurisdiction of such courts and hereby waive any jurisdictional or venue defenses otherwise available to you.

10. All notices contemplated by this Agreement will be in writing and mailed by hand delivery, prepaid courier service, by overnight delivery with delivery confirmation, or by telecopier with receipt confirmed by electronic acknowledgement of transmission; provided that, SGP may provide notice to you via electronic mail. Notices shall be effective upon receipt of confirmation that delivery is complete. All notices to you shall be addressed to the location you provide to SGP. All notices to SGP shall be addressed to Sterling Group Publishing LLC, 30 Woodland Ave., Summit, NJ 07901, sent to the attention of the President with a copy to SGP's General Counsel (unless another address is subsequently designated by notice to the other party).

BY SUBMITTING CONTENT OR CLICKING ON THE SUBMIT BUTTON, YOU AGREE TO BE BOUND BY ALL SECTIONS OF THE ROYALTIES AGREEMENT BELOW. BEFORE YOU MAKE SUBMISSIONS, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT ACCEPT AND AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT REGISTER OR SUBMIT CONTENT. 
 
Royalties Agreement -

Dear Selected Applicant,

I am pleased to confirm your offer of employment with Sterling Group Publishing, LLC. as Contributing Writer for the New

Jersey office. We would like to have you commence employment with Sterling Group Publishing, LLC on or before

3/31/2011

Your Royalties Pay will be 0.5% of Net Sales for the YourTrueStories, 2011 Edition publication, which expressed is net sales after printing costs per copy and any state or federal taxes due. This is

a quaterly paid, fulltime position. Your Royalties compensation is in

conjunction with the Sterling Group Publishing, LLC Royalties Pay Plan (see Royalties Pay Plan - as listed at 0.5% of Net Sales for the YourTrueStories, 2011 Edition publication and can also be viewed at yourtruesstories.com under Your Royalties Pay).

Within three days following your date of your selection and hire you would need to provide documentation, required by the

Immigration and Naturalization Service, to demonstrate your eligibility to work in the United States.

Additionally, this offer is contingent upon your

successful completion of all of our companys pre employment screening process.

Your employment with Sterling Group Publishing, LLC, the Company, will be consistent with the concept of, employment at will, which

means that there is no guarantee of lifetime employment and both the employee and, or Sterling Group Publishing can

terminate the employment relationship at any time, with or without cause.

With your acceptance of this offer you are also expressly stating that you are accepting of all terms and conditions of the w2 Royalties Agreement and available to work for Sterling Publishing Group, LLC without bringing any material, information, property or other fodder from any previous employers, nor will

you ever leave Sterling Group Publishing, LLC with any of the same upon separation of employment. You are also

agreeing that Sterling Group Publishing is and will remain your employer and that any other changes in your current status as a US Citizen, your current mailing address, home address, phone number, email address

must be disclosed to and approved by Sterling Group Publishing management, please forward any update information by mail.

The Companys current Royalties Pay Plan is provided below. The Company may modify such plan from

time to time upon thirty, 30 days notice.

We look forward to having you join the Sterling Group Publishing, LLC team. Your skills and experience will be a

welcome addition. Please acknowledge your acceptance of this offer with your signature in the space provided below and return a

copy along with a cover page addressed to Sterling Group Publishing, 30 Woodland Ave, Suite 5w, Summit NJ 07901 by March 31st 2011. We

will be unable to hold this offer open beyond this date.

*Your Cash Royalties Paycheck -Paychecks are to be paid out to you in an initial lump sum on 7/1/2011 (for sales through 7/1/2011) and subsequently royalties will be received for on goin sales each quater ending starting 9/2011, following the book release. Paycheck pay periods include 9/2011, 12/2011, 3/2012, 6/2012 etc., as Net Sales are on-going.

*Royalties Agreement - Each of the 100 applicants selected for publication in YourTrueStories, 2011 Edition will receive a Sterling Group Publishing w2 Royalties Agreement by mail, following the  story selection process of 6/1/2010 to 3/31/2011, see the w2 Royalties Agreement under Terms and Conditions on the 'Your Application and Your Story Submission' page for your review.
*Royalties Agreement Requirements - All US Citizens 18-plus years old Qualify, this is the only requirement to be eligible for Your Cash Royalties. Required Royalties Paperwork to be signed along with Sterling Group Publishing at the time of hiring, Royalties Paperwork will be sent to the 100 selected Applicants by mail and confirmed by phone, include signing the w2 Royalties Agreement, w4 form, and I-9 form (proof of US Citizenship form).
